Private Law

What is law?

The law can affect many aspects of our lives, however, most people living in England and Wales have little understanding of the legal system that operates in these two countries. For many, their main knowledge comes from newspaper articles with headlines such as Murderer imprisoned for life, a thief caught in the act, young delinquent is released. This type of headline appears so frequently that it is not surprising that, when the law is mentioned, many people only think about the criminal law and the courts that deal with this type of case. Actually, the law covers a wide range of situations and the legal system in England and Wales has a variety of courts and methods to deal with different types of cases.
Within national legislation there is usually a clear distinction between public and private law. Public law involves the government state in some way, while private law deals with disputes between individuals or companies. Both public and private law can be subdivided into different categories.

Private Law:

Corporate law is very important in the business world: it regulates the way in which a company must be formed, establishes formal rules for directing companies and deals with the rights and obligations of shareholders and directors.
The employment law covers all aspects of employment from the original formation of an employment contract to situations of dismissal or unfair dismissal. In addition to these areas of private law, there are also laws related to land, copyright and patents, maritime law and many other issues, so you can see that the civil law covers a wide variety of situations.

Public law:

Like any business, you need staff to keep the business alive. But what happens when this gets ugly and the termination of contracts comes into play? This is an area in the law where alternative dispute resolution has been used for a long time in the form of (Consultative Conciliation and Arbitration Service). When a claim is filed with a labor court, a copy of that claim is sent to Consultative Conciliation and Arbitration service, who will communicate with the two parties involved and offer to try to resolve the dispute without the need for the matter to go to a court. Consultative Conciliation and Arbitration Service has specially trained conciliation officers who have a lot of experience in employment disputes.

Role and Duties of a Company Secretary:

A company secretary occupies a high-level position in a private sector company or in a public sector organization, usually in the form of a managerial position or higher. In large corporations listed on the stock exchange in the United States and Canada, a secretary of a company is usually called Secretary or Corporate Secretary.

Despite the name, the paper is not administrative or secretarial in the usual sense. The company secretary ensures that an organization complies with the relevant legislation and regulations, and keeps board members informed of their legal responsibilities. The company's secretaries are the designated representative of the company in the legal documents, and it is their responsibility to ensure that the company and its directors operate within the law. It is also your responsibility to register and communicate with shareholders, to ensure that dividends are paid and to maintain company records, such as the lists of directors and shareholders, and annual accounts.

The secretary who must be appointed by a listed company must be a member of a recognized body of professional accountants, or a member of a recognized body of corporate secretaries / statutes or a person with a master's degree in Business Administration or Commerce or is a law graduate from a recognized university with relevant experience. However, the secretary of the company of a single member company will be a person with a degree from a recognized university.
